1. About these Terms

These Terms of Service ("Terms") govern your access to and use of the website sidorin.tech (the "Website") and any solar-intelligence services, demos, APIs, dashboards, or related offerings (the "Services") provided by Sidorintec Sp. z o.o. (NIP: 7292766728) ("Sidorin Tech", "we", "our", or "us"). By using the Website or the Services, you agree to be bound by these Terms.

2. Eligibility

You may use the Services only if you can form a binding contract with Sidorin Tech under applicable law and are not prohibited from doing so. The Services are intended for business use; you represent that you are acting on behalf of a legal entity and have the authority to bind it to these Terms.

3. The Services

Sidorin Tech provides AI-powered analytics, monitoring, and optimisation tools for solar-energy infrastructure, including satellite imagery analysis, predictive maintenance insights, and performance reporting. Specific scope, deliverables, fees, and service levels for paid engagements are set out in a separate written agreement or order form.

The Website and demo materials are provided for informational and evaluation purposes only.

4. Acceptable Use

You agree not to:

• use the Services in violation of applicable laws or third-party rights;
• attempt to reverse engineer, decompile, or extract the underlying models, algorithms, or source code of the Services, except to the extent expressly permitted by law;
• interfere with or disrupt the integrity, security, or performance of the Services or the data they contain;
• use automated means to scrape, harvest, or otherwise extract content from the Website beyond what is permitted by /robots.txt;
• use the Services to develop or train competing products.

5. Intellectual Property

The Website, the Services, all related software, models, documentation, designs, trademarks, and content are and remain the exclusive property of Sidorin Tech or its licensors. No rights are granted to you other than the limited, non-exclusive, non-transferable right to access and use the Website and the Services as expressly permitted by these Terms or a separate agreement.

6. Customer Data

Any data you submit through the Website (e.g., a demo request) is processed in accordance with our Privacy Policy. For paid engagements, the handling of customer data and any required data-processing agreements are specified in the applicable contract.

7. Disclaimer of Warranties

To the maximum extent permitted by law, the Website and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. Forecasts, performance estimates, and analytical outputs are indicative and should not be the sole basis for operational or investment decisions.

8. Limitation of Liability

To the maximum extent permitted by law, Sidorin Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, business opportunities, or goodwill, arising out of or in connection with the use of, or inability to use, the Website or the Services. Our total aggregate liability arising out of or in connection with these Terms shall not exceed the amounts actually paid by you to Sidorin Tech, if any, in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

9. Indemnification

You agree to indemnify and hold harmless Sidorin Tech, its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website or the Services.

10. Termination

We may suspend or terminate your access to the Website or the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or that your use poses a security, legal, or operational risk. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. The courts having jurisdiction over the registered seat of Sidorintec Sp. z o.o. shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer protection law provides otherwise.

We may update these Terms from time to time. The most current version will always be available on this page, and the "Last updated" date will reflect the latest revision. Continued use of the Website or the Services after the changes take effect constitutes acceptance of the updated Terms.
